These Terms of Use govern access to and use of the Matrix Marketing website and services provided by Matrix Marketing, doing business as Matrix Marketing.
By accessing our website or purchasing our services, you agree to these Terms, our Privacy Policy, and any applicable proposal, order form, service agreement, or checkout terms.
1. Our Services
Matrix Marketing provides digital marketing, consulting, websites, funnels, CRM implementation, automation, content systems, AI-supported workflows, marketing-technology support, and access to related software offerings.
The exact services purchased by a customer are defined in the applicable written agreement, proposal, order form, invoice, subscription plan, or checkout page.
If these Terms conflict with a signed service agreement, the signed service agreement will control for that engagement.
2. Eligibility and Authority
You must be legally able to enter into a binding agreement to use or purchase our services.
If you are purchasing on behalf of a company, you represent that you have authority to bind that company to the applicable agreement.
3. Accounts and Security
Certain services may require an account. You are responsible for:
Providing accurate account information
Protecting usernames and passwords
Restricting unauthorized account access
Promptly notifying us of suspected misuse
Maintaining current billing and contact information
You are responsible for activity performed through your account unless prohibited by law.
4. Acceptable Use
You may not use our website, services, or software to:
Violate applicable law
Send unlawful or unauthorized communications
Infringe intellectual property or privacy rights
Distribute malware or harmful code
Misrepresent your identity or business
Attempt unauthorized system access
Interfere with service operation or security
Promote fraud, deception, harassment, or illegal activity
Clients using email, telephone, or SMS features are responsible for obtaining any required consent and honoring applicable opt-out requests.
5. Client Materials and Responsibilities
You retain ownership of materials you provide to Matrix Marketing.
You grant us permission to use those materials as reasonably necessary to perform the purchased services.
You represent that you have the rights and permissions required for any text, images, trademarks, contact data, customer information, or other materials you provide.
6. Our Intellectual Property
The Matrix Marketing name, branding, website, processes, templates, documentation, and original materials remain protected by applicable intellectual-property laws.
Unless a written agreement states otherwise, customers receive a limited right to use completed deliverables for their intended business purpose after all applicable fees have been paid.
Third-party software, fonts, images, templates, and other materials remain subject to their respective licenses.
7. Matrix Funnels and Third-Party Services
Matrix Funnels is a related software offering provided through Matrix Marketing and supporting technology providers.
Certain services may depend on third-party platforms.
We do not control and cannot guarantee the continuous availability, pricing, functionality, or policies of third-party services.
Customers may be required to accept additional third-party terms.
8. Fees and Payments
Fees, recurring charges, usage charges, payment schedules, and cancellation terms are described in the applicable agreement, invoice, plan, or checkout page.

9. No Guaranteed Results
Matrix Marketing does not guarantee:
A particular number of leads
Search-engine rankings
Advertising performance
Customer acquisition
Sales or revenue
Profitability
Any specific business outcome
Results depend on factors outside our control, including the customer’s offer, market, budget, sales process, implementation, operations, and compliance.
10. Service Availability
We may modify, suspend, or discontinue part of a service when reasonably necessary for maintenance, security, legal compliance, platform changes, or business operations.
We will provide notice when reasonably practical.
11. Disclaimer of Warranties
To the extent permitted by law, the website and services are provided on an “as available” basis.
Except for commitments expressly stated in a written agreement, Matrix Marketing disclaims implied warranties, including warranties of merchantability, fitness for a particular purpose, and non-infringement.
Nothing in this section limits rights that cannot legally be waived.
12. Limitation of Liability
To the maximum extent permitted by law, Matrix Marketing will not be liable for indirect, incidental, special, exemplary, or consequential damages, including lost profits, lost data, lost opportunities, or business interruption.
Our total liability concerning a claim will not exceed the amount paid to Matrix Marketing for the service giving rise to that claim during the [THREE/SIX/TWELVE] months preceding the event.
This limitation does not apply where prohibited by law.
13. Termination
We may suspend or terminate access for nonpayment, unlawful activity, material violation of an agreement, security risk, or misuse of our services.
Customers may cancel eligible services according to the applicable agreement and our Billing, Refund and Cancellation Policy.
14. Governing Law
These Terms are governed by the laws of the State of Colorado, without regard to conflict-of-law rules.
Any dispute will be handled in the applicable state or federal courts located in Colorado Springs Colorado, unless a written agreement provides a different lawful process.
15. Changes to These Terms
We may update these Terms as our services or legal obligations change. Revised Terms will be posted with an updated effective date.
Changes will not retroactively alter a signed agreement unless the parties agree in writing.
